Token Rewards Terms & Conditions

CLICK Token Rewards Program. Version v0.1

These Terms govern participation in the CLICK Token Rewards Program on the ClickOptions platform. By joining the Program you accept them in full, in addition to the ClickOptions Terms of Service.

1. The Program

1.1 "CLICK" is a planned digital token of Gamma Desk S.A., registration number 155773887, incorporated in Panama, which operates the ClickOptions platform (the "Organizer"). The "Program" is the CLICK Token Rewards Program operated on the ClickOptions platform, under which users may accrue reward entitlements ("Reward Balances") through activity tiers, points, referrals or discretionary grants, as described on the Program page from time to time.

1.2 "TGE" means the token generation event at which CLICK may be created and distributed. The Organizer does not commit to any TGE date, and the TGE may be postponed or may not occur.

1.3 The current earning schedule (tiers, thresholds, rewards, points conversion, referral rules and caps) is the one displayed on the Program page. The Organizer may change it prospectively at any time; changes do not remove Reward Balances already accrued in compliance with these Terms.

2. Eligibility

2.1 Participation requires a ClickOptions account in good standing, compliance with the ClickOptions Terms of Service and applicable identity-verification (KYC) requirements as in force on the platform from time to time, and being of legal age in your jurisdiction.

2.2 The Program is not available to persons in the jurisdictions the platform does not serve under the Terms of Service and the KYC/AML Policy, to sanctioned persons, or where participation would be unlawful. You are responsible for confirming that participation is lawful for you.

2.3 One Program account per natural person. Employees, contractors and market-making counterparties of the Organizer, and their affiliates, are excluded from earning.

3. Reference price: no promise of value

3.1 Where the platform displays a US-dollar equivalent for CLICK (currently at a reference price of $0.030), that figure is an internal reference used solely for illustration. It is not a price at which CLICK has traded, will trade, will list, or can be redeemed.

3.2 No representation, warranty or promise is made as to the current or future value, liquidity, listing, transferability or utility of CLICK. CLICK may have no monetary value, may never become transferable, and if it trades, may trade at any price, including materially below the reference price or at zero.

3.3 Nothing in the Program, on the platform or in related communications is investment, financial, legal or tax advice, or a recommendation to trade in order to earn rewards.

Plain-language summary, shown next to every $ figure: "$ values use a $0.030 reference price for illustration only. They are not a promise of any listing price or future value."

4. Nature of Reward Balances

4.1 Before the TGE, Reward Balances are bookkeeping entries only: they are not tokens, funds, deposits, account balances, securities, or property; they bear no interest; they are personal to your account and non-transferable and non-assignable; and they cannot be sold, exchanged, withdrawn or redeemed.

4.2 Reward Balances confer no ownership, governance, dividend, or other rights in the Organizer or any affiliate.

4.3 These Terms are not a prospectus, offer document, or an offer or solicitation to sell securities or any other regulated instrument in any jurisdiction.

5. Distribution

5.1 If and when a TGE occurs, the Organizer intends to settle credited Reward Balances in CLICK, subject to these Terms, applicable law, and any conditions notified at the time (which may include identity verification, jurisdiction checks, provision of a compatible wallet address, and vesting or lock-up schedules).

5.2 The Organizer may satisfy, delay, restructure or (where required by law or in cases under Section 6) withhold distribution. Failure to satisfy notified conditions within the stated window may result in forfeiture.

6. Prohibited conduct, disqualification and clawback

6.1 Prohibited: multiple or coordinated accounts; self-referral or referral collusion; use of bots or automation to simulate activity; exploiting bugs, mispricings or promotional mechanics; providing false information; and any market abuse or manipulative trading as defined in the ClickOptions Terms of Service.

6.2 On reasonable suspicion of prohibited conduct the Organizer may suspend accrual, withhold pending rewards, reverse (claw back) credited Reward Balances or distributed tokens attributable to the conduct, disqualify the account from the Program, and terminate the account under the Terms of Service. Determinations are made by the Organizer at its reasonable discretion and are final.

6.3 Trading in order to reach reward tiers is permitted; the trading itself must simply be genuine, own-account activity that complies with the Terms of Service.

7. Caps, changes and termination

7.1 The Program is subject to the caps shown on the Program page (currently 25,000 CLICK earned per user and a Year-1 Program pool of 23,000,000 CLICK). When a cap is reached, accrual stops.

7.2 The Organizer may modify, suspend or terminate the Program or these Terms at any time. Material changes take effect prospectively upon posting; continued participation constitutes acceptance. On termination, Reward Balances validly accrued before termination remain subject to Sections 4–6.

8. Taxes

8.1 You are solely responsible for any taxes, duties or reporting obligations arising from participation, accrual or distribution. The Organizer may withhold amounts where required by law.

9. Your representations

9.1 You represent that: you participate for your own account; your information is accurate; you are not a restricted or sanctioned person; you understand digital-asset risks, including total loss of value; and you do not participate in reliance on any expectation of profit from the Organizer's efforts.

10. Disclaimers, liability and indemnity

10.1 The Program is provided "as is" and "as available". The Organizer disclaims all warranties and is not responsible for technical failures, network or blockchain events, third-party services (including X/Twitter and Discord), loss of credentials or wallet access, or regulatory actions affecting the Program or CLICK.

10.2 To the maximum extent permitted by law, the Organizer's aggregate liability arising out of the Program is limited to US$100; indirect and consequential loss is excluded.

10.3 You will indemnify the Organizer against claims arising from your breach of these Terms or applicable law.

11. Governing law and disputes

11.1 These Terms are governed by the laws of the Republic of Panama; the courts or arbitration panels of the Republic of Panama have exclusive jurisdiction, as set out in the ClickOptions Terms of Service.

12. General

12.1 If any provision is unenforceable, the remainder stands. These Terms plus the ClickOptions Terms of Service and Privacy Policy are the entire agreement for the Program; in conflict, these Terms prevail for Program matters. The Organizer may assign; you may not. The English version prevails over translations. Contact: [email protected].
